Part A: Commercial Terms of Trading

2. Payment Terms

• Invoicing: Invoices will be issued as set out in the individual project agreement or immediately upon completion of services or production of goods.

• Payment Period: All invoices are strictly payable within 14 days from the date of issue, unless otherwise agreed in writing.

• Late Payment Interest: The Company reserves the right to charge interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Interest will be calculated at a rate of 8% above the Bank of England base rate, compounded daily from the date the invoice became overdue until full payment is received.

3. Debt Recovery and Administrative Costs

• In the event that an invoice remains unpaid past its due date, the Company reserves the right to pass the debt to a third-party debt recovery agency or legal representative.

• The Client agrees to indemnify the Company against all costs, fees, and expenses (including debt collection agency fees, legal fees, and court costs) incurred in the recovery of any overdue funds.

• A standard administrative fee of £40.00 will be applied to all late invoices to cover internal processing costs, in addition to external recovery fees.

4. Intellectual Property and Asset Retention

• Retention of Title (Digital and Physical Assets): Full legal ownership, copyright, and intellectual property rights of any digital assets, videos, photographs, master files, physical 3D prints, or completed designs remain exclusively with the Company until all associated invoices, late fees, and recovery costs have been paid in full and funds have cleared.

• Licence to Use: No licence or right to use, publish, broadcast, exhibit, or distribute any created assets is granted to the Client until full cleared payment is received. The Company reserves the right to withhold delivery of final assets, suspend digital download access, or demand the immediate removal of provisionally supplied materials if payment terms are breached.

5. Cancellations and Variations

Any changes, modifications, or cancellations to a booked service or custom 3D printing order must be requested in writing. The Company reserves the right to charge for any time expended, materials purchased, or administrative costs incurred up to the date of cancellation.
